Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you and ToneFinder ("ToneFinder", "we", "us", or "our") and govern your access to and use of our websites, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Service.
2. The Service
ToneFinder is an AI-assisted tone advisor for guitarists and bassists. It lets you catalogue your gear, arrange virtual signal chains, and request AI-generated suggestions and settings. The Service is provided for informational and creative purposes only. Features, functionality, and the behaviour of AI components may change, evolve, or be withdrawn at any time without notice.
3. Eligibility
You must be at least sixteen (16) years old, or the age of digital consent in your jurisdiction if higher, to use the Service. By using the Service you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, in which case "you" refers to that organization.
4. Accounts
To access most features you must create an account. You agree to provide accurate information, to keep your credentials confidential, and to be responsible for all activity occurring under your account. You must notify us promptly of any unauthorized use of, or suspected security incident relating to, your account. We may suspend or terminate any account that we reasonably believe has been used in breach of these Terms or that poses a risk to the Service or to other users.
5. Subscriptions and Billing
The Service is offered under paid subscription plans with a complimentary 7-day free trial on first signup. During the trial period you will not be charged; if you do not cancel before the trial ends, the selected plan will automatically begin billing on a recurring basis and renew for successive periods of equal length unless cancelled before the end of the then-current term. You authorize us, through our payment processor, to charge your selected payment method for all fees due. Except where required by applicable law, fees already paid are non-refundable. We may modify pricing and plan features with reasonable prior notice; such changes apply to the next renewal cycle and not retroactively. You may cancel at any time from your account settings; cancellation during a trial takes effect at the end of the trial window and you retain access until then. Cancellation of a paid subscription takes effect at the end of the current billing period and you retain access until then.
6. User Content
"User Content" means any information, material, or data you submit to the Service, including photographs, text, chat messages, and signal chain configurations. You retain all ownership rights in your User Content. By submitting User Content, you grant ToneFinder a worldwide, non-exclusive, royalty-free, sub-licensable license to host, store, reproduce, transmit, adapt, and display the User Content solely to the extent necessary to operate, maintain, secure, and improve the Service and to deliver the functionality you request. You represent and warrant that you hold all rights necessary to submit the User Content and that it does not infringe any third-party rights or violate any applicable law.
7. AI-Generated Output
The Service uses artificial intelligence to generate identifications, layouts, suggestions, settings, and other outputs ("AI Output"). AI Output is produced automatically, may be inaccurate, incomplete, or inappropriate for your needs, and must not be relied upon as professional, technical, or safety-critical advice. AI Output is provided on an informational basis only and without any warranty of any kind. You are solely responsible for evaluating and using AI Output. Identical inputs may produce different outputs, and AI Output similar or identical to that provided to other users may be generated; you acknowledge that no claim of exclusivity over AI Output is implied or granted.
8. Acceptable Use
You agree not to, and not to permit any third party to: (a) use the Service in violation of any applicable law or regulation; (b) upload, submit, or transmit content that is unlawful, infringing, defamatory, deceptive, malicious, obscene, or that you do not have the right to share; (c) impersonate any person or misrepresent your affiliation with any person or entity; (d) probe, scan, or test the vulnerability of the Service, or breach any security or authentication measure; (e) interfere with, disrupt, or place an unreasonable load on the Service or its underlying infrastructure; (f) access or use the Service or any AI Output by automated means, or scrape, crawl, or harvest data from the Service, except as expressly authorized in writing; (g) reverse engineer, decompile, or otherwise attempt to derive the source code, models, prompts, parameters, or underlying technology of the Service, except to the extent such restriction is prohibited by applicable law; (h) use the Service, or any AI Output, to develop a competing product or service, or to train, fine-tune, benchmark, distill, or otherwise improve any artificial intelligence or machine learning model; or (i) share, resell, or sublicense access to the Service, or circumvent any usage limit, rate limit, or quota applied to your account.
9. Intellectual Property
The Service, including its software, design, text, graphics, trademarks, logos, branding, and all related intellectual property rights, is and remains the exclusive property of ToneFinder and its licensors. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes. No other rights are granted, whether by implication, estoppel, or otherwise, and all rights not expressly granted are reserved.
10. Feedback
If you choose to provide suggestions, ideas, or other feedback regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, disclose, and exploit such feedback for any purpose, without obligation or compensation to you.
11. Third-Party Services
The Service relies on third-party service providers for functions such as infrastructure, authentication, payment processing, and artificial intelligence model hosting. These providers operate under their own terms and privacy practices, and we are not responsible for their acts or omissions. By using the Service, you authorize us to transmit such data as is reasonably necessary to these providers for the purposes described in our Privacy Policy.
12. Termination
You may terminate these Terms at any time by closing your account. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, if we reasonably believe that you have breached these Terms, that such action is necessary to protect the Service or other users, or that we are required to do so by law. Upon termination, your right to use the Service will cease immediately and your User Content may be deleted in accordance with our Privacy Policy. Sections that by their nature should survive termination — including those relating to intellectual property, user representations, disclaimers, limitation of liability, indemnification, and governing law — will survive.
13. Disclaimers
THE SERVICE AND ALL AI OUTPUT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE, OR THAT AI OUTPUT WILL BE CORRECT, COMPLETE, OR FIT FOR YOUR PURPOSE. NOTHING IN THESE TERMS IS INTENDED TO EXCLUDE OR LIMIT ANY WARRANTY, RIGHT, OR LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TONEFINDER, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT TONEFINDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TONEFINDER'S AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO TONEFINDER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100). THE FOREGOING LIMITATIONS FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND TONEFINDER.
15. Indemnification
You agree to defend, indemnify, and hold harmless ToneFinder and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or in connection with (a) your access to or use of the Service, (b) your User Content, or (c) your breach of these Terms or violation of any applicable law or of the rights of any third party.
16. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws applicable at ToneFinder's place of establishment, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of that place, without prejudice to any mandatory consumer-protection rights available to you under the laws of your country of habitual residence.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable prior notice by email or through the Service before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
18. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ToneFinder regarding the Service and supersede any prior or contemporaneous agreements, communications, and proposals on the same subject. If any provision is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent; we may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law. There are no third-party beneficiaries to these Terms.
